1. Services Provided

1.1 Website Design

  • Damage Bureau will create and deliver a custom website based on the agreed-upon scope, timeline, and specifications.
  • Clients must provide all necessary content (text, images, logos, etc.) unless otherwise agreed.
  • Two rounds of revisions are included unless specified otherwise in the contract. Additional revisions may incur additional fees.

1.2 Website Maintenance

  • Maintenance services include updates to plugins, themes, and security patches, along with minor content changes.
  • Maintenance does not include redesigns, extensive changes, or custom development unless explicitly stated.
  • Maintenance plans are billed monthly or annually and are non-refundable.

1.3 Digital Marketing

1.3.1 Search Engine Optimization (SEO)

  • SEO services include keyword research, on-page optimization, content strategy, backlink development, and other agreed-upon strategies.
  • Results are influenced by external factors and cannot be guaranteed (e.g., specific rankings or traffic levels).

1.3.2 Social Media Marketing

  • Social media services may include content creation, posting, account management, analytics reporting, and strategy development.
  • Clients must provide brand guidelines, content preferences, and access to social media accounts.
  • Damage Bureau is not responsible for platform-specific changes or policies affecting performance.

1.3.3 Email Marketing

  • Email marketing services include campaign creation, list segmentation, content writing, and analytics tracking.
  • Clients are responsible for compliance with email marketing regulations (e.g., GDPR, CAN-SPAM) and must ensure their email lists are permission-based.

1.4 Marketing Campaign Management

  • Marketing campaigns require upfront payment for ad spend and service fees.
  • Clients must approve all campaign materials before deployment.
  • Damage Bureau reserves the right to pause campaigns due to non-payment or lack of client communication.

2. Client Responsibilities

  • Clients must provide accurate and complete information necessary for the delivery of services.
  • Clients are responsible for obtaining all rights, licenses, and permissions for any content provided to Damage Bureau.
  • Clients must review and approve work promptly to avoid project delays.

3. Payment Terms

  • All fees are outlined in the project proposal or agreement and must be paid according to the specified schedule.
  • Payments for design projects typically include a deposit (e.g., 50%) upfront, with the balance due upon project completion.
  • Monthly retainers for maintenance or marketing services must be paid in advance.
  • Late payments may incur additional fees and may result in a suspension of services.

4. Intellectual Property

  • Damage Bureau retains ownership of any custom code, templates, or proprietary tools used during the project unless explicitly transferred in writing.
  • Upon full payment, clients receive rights to the completed website and content as outlined in the agreement.
  • Clients grant Damage Bureau a non-exclusive license to display completed work in portfolios and marketing materials unless otherwise requested.

5. Confidentiality

  • Both parties agree to keep confidential any proprietary or sensitive information shared during the project.
  • Damage Bureau may use aggregated, non-identifiable data for performance analysis and improvement.

6. Limitation of Liability

  • Damage Bureau is not liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services.
  • We are not responsible for downtime, data loss, or security breaches due to third-party hosting providers or software vulnerabilities.
  • Clients are advised to maintain regular backups of their website and data.

7. Termination

  • Either party may terminate the agreement with 30 days’ written notice.
  • If the client terminates before project completion, fees for work completed up to the termination date are non-refundable.
  • Damage Bureau reserves the right to terminate services for non-payment, breach of terms, or abusive behavior.

8. Refund Policy

  • Deposits for website design projects are non-refundable.
  • Refunds for prepaid services, such as maintenance or marketing, are not offered unless explicitly agreed upon.

9. Third-Party Services

  • Damage Bureau may use third-party tools, plugins, or platforms to deliver services.
  • We are not responsible for changes, outages, or issues caused by third-party providers.

10. Changes to Terms

  • Damage Bureau reserves the right to update these terms at any time. Clients will be notified of significant changes via email or through our website.

11. Governing Law
